Trilogy Cigar Club - Bylaws
ARTICLE I - GENERAL
Section A. Name of Organization — Trilogy Cigar Club
Section B. Purpose of Organization — A Excuse for People to Get Together, Smoke Cigars and Tell Lies
These bylaws willfufly comply with the Association's Governing Documents (Documents), and Club Rules (Article 9)
and Procedures (Rules). In the event of a conflict between these bylaws and the Documents, or Rules, the Documents or Rules will prevail.]
Section D. This organization shall be operated as a non profit association in accordance with applicable statutes and the Association's Documents.
ARTICLE II -MEMBERSHIP
Section A. Membership shall be open to all Association members in good standing without discrimination as to race, religion, color, ethnic culture, or national heritage.
Section B. There shall be no precondition for membership, nor will members be required to join any national, state, or regionally affiliated organization.
Section C. Dues
ARTICLE III - OFFICERS
Section A. The executive board shall consist of the president, vice- president, and secretary-treasurer.
Section B. All officers shall be elected by a vote of the general membership, and shall serve without compensation.
Section C. Terms of Office and Responsibilities
· The President shall preside over all meetings.
· The Vice-President will assist the president at meetings and preside at meetings in the president 's absence.
· The Secretary shall record all minutes and keep the records of the club.
· The Treasure will collect all monies, pay all bills, and keep all financial records.
The term of office shall be 2 years starting September 1, 2007 and ending August 31, 2009.
Nomination and Election Procedures
A nominating committee will be appointed by the President and shall solicit nominations during the month August. Nominations will be announced via email to the general membership from August 15th to August 31st. Election will be held the last week of August with email votes to also count. Installation of officers will be the first Tuesday night in September.
Meetings, Quorum, and Voting Procedures
A quorum will be a minimum of 20% of the general membership. Only members in good standing will be permitted to vote. Voting procedure will be by show of hands, voice, or email ballot.
Vacancies and Recall of Officers
In the event an officer is not able to perform his/her duties, as determined by the officer or the Board of Directors, a replacement will be appointed by the Board of Directors if needed before a regularly held Tuesday night "Big Smoke"
ARTICLE IV - MEETINGS (Note: Mandatory Information):
Section A. Types and Frequencies of Meetings
Cigar Club will meet every Wednesday afternoon anywhere between 1:30pm to 5:30pm
Conduct of Meetings/Parliamentary Procedure
Issues involving policies, procedures, elections, and events that affect the membership as a whole will be presented for a vote during the business portion of the general meeting using of Roberts Rules of Order as a guide.
Voting and Quorum Procedures
A quorum will be a minimum of 20% of the general membership. Only members in good standing will be permitted to vote. Voting procedure will be by show of hands, voice, or written ballot] NOTE: Quorum and voting procedures should be the same as stated in Article V. Section E.

ARTICLE VII - AMENDMENTS
To amend the bylaws of this club requires a majority vote of the quorum at a meeting duly called for such purpose.
Notice requirement and procedure
Any proposed amendment shall be publicized via: (e-mail, general meeting announcements, U.S. mail, etc))
ARTICLE VM — DISSOLUTION
Prior to club dissolution, and after all debts are satisfied, all property and assets shall be turned over to the Association.
ARTICLE IX — DAMAGES
Any damage done by any member will be the sole responsibility of that member to reconcile.
